International Participation and Eligibility Notice
Worldwide interest, location and future participation requirements.
Version 2026-09-07-legal-v3 · Effective date: September 7, 2026
1. Availability is not authorization
Cybercab Collective is a U.S.-based project of Broodex, Inc. A publicly reachable Website is not permission to market or acquire investments in every country. The current nonbinding interest register accepts submissions worldwide to understand geographic demand. Registration and email verification do not establish eligibility for any investment or later promotional communication. We may restrict a location, communication or form stage when required. We do not represent that an offering is registered, approved or exempt everywhere, and we are not currently accepting investments from any location.
Information is directed only to persons who may lawfully receive the particular communication. This statement does not itself supply a legal exemption or replace appropriate access controls. Do not evade an applicable restriction or provide inaccurate country or U.S.-status information.
2. Location, residence and U.S. status are different
We may ask where you ordinarily reside and where you are located when making an inquiry. Additional facts may be relevant before any later proposal, including citizenship, tax status, entity organization and beneficial ownership. A country field alone does not determine whether you are a U.S. person for a particular legal purpose. We do not ask for identity documents at this stage.
3. U.S. and non-U.S. routes
The intended U.S. audience is prospective accredited investors, subject to the exemption ultimately selected and appropriate verification. If a future Rule 506(c) offering includes non-U.S. purchasers, they must also meet its accreditation and other requirements.
A separate offshore offering, if pursued, would require appropriate structuring, including relevant offshore-transaction, selling-effort and resale restrictions under Regulation S and the law of each relevant location. Merely accepting a wire from a foreign account or a cryptocurrency transfer is not an offshore-offering exemption.
4. Local eligibility and screening
Potential participation may depend on local financial-promotion rules, prospectus or private-placement exemptions, eligible-investor categories, investor-count limits, licensing requirements and other rules. Local approval or an intermediary may be necessary; some markets may remain unavailable. An invitation is not assured even if you meet U.S. accreditation criteria.
Before investment, a secure process may require identity, entity and beneficial-owner information, source-of-funds or source-of-wealth information where appropriate, tax documentation and other checks. These checks will be tailored to actual law, financial partners and risk; the interest form is not a representation that a complete background or regulatory check has occurred.
5. Sanctions and restricted activity
We will not knowingly undertake a transaction prohibited by applicable sanctions or other law. Restrictions can concern named persons, entities, ownership, specific territories and types of activity, and may change. Being outside a comprehensively sanctioned country is not enough to guarantee eligibility. Nor does residence in a country by itself establish that every interaction with a person there is prohibited; applicable law controls.
Do not use another person's name, location, entity, bank account, wallet or nominee arrangement to evade restrictions. A potential match may require lawful clarification. Screening results and reporting will be handled in accordance with applicable law and privacy duties.
6. Future payments, taxes and privacy
No payment is accepted now. A later proposal may permit approved bank wires or specified digital assets, but only under separately delivered instructions and completed eligibility checks. Banking restrictions, exchange controls, sanctions and taxes can prevent or delay a transaction. Funds may need to be rejected, returned, blocked or reported as required by law; there is no blanket promise of instant or irreversible acceptance.
The Privacy Policy and applicable regional supplements describe information processing. Consent to optional email or SMS does not establish investment eligibility, override a local promotion rule or waive data-protection rights.
