1. What you are submitting
By submitting an expression of interest to Broodex, Inc for Cybercab Collective, you are providing an indication of possible future interest and requesting only the communications you select. You are not submitting a securities subscription, an offer that we can accept to form an investment contract, a vehicle order, a reservation or a commitment to pay. You may change or withdraw your indication at any time without a fee.
Administrative obligations expressly accepted in the Website Terms, including truthful submissions and their limited dispute procedure, are distinct from your nonbinding financial indication. No investment obligation, reimbursement obligation or capital call arises from those administrative terms.
If you choose "Financial institution," you are instead making a nonbinding inquiry about potential future financing for clients considering participation in the proposed fleet. You must be authorized to supply your organization's information. This is not a loan or financing application, credit approval, lending commitment, investment reservation or acceptance of any client. The Website does not advertise an available financing product. Any future financing would require separate agreements and eligibility review for the actual parties and activity.
2. Current operator and contemplated future issuer
Broodex operates this prelaunch Website. A separate corporation will likely be established for a future fleet proposal; its name, incorporation state, capitalization and contractual role will be disclosed before any investment decision. Your submission acquires no ownership in Broodex, any future corporation or Tesla.
The primary concept is corporate participation in a business owning and managing Cybercab vehicles. A vehicle-specific corporate arrangement is also under evaluation. A corporation owning a vehicle is different from an individual personally holding vehicle title. No pooled, vehicle-specific or direct-title structure is finalized or available now. Your choice of vehicle equivalents does not elect a legal structure or secure a particular vehicle.
3. Calculator and indicated budget
The calculator uses a hypothetical US$30,000 vehicle price. One-third corresponds to US$10,000 of illustrative vehicle-purchase cost; ten corresponds to US$300,000. These are not confirmed offering minimums, maximums, subscription prices or all-in funding amounts. The total capital needed may include taxes, delivery, formation, legal and accounting expenses, facilities, charging equipment, insurance, licensing, reserves and other costs.
Your indicated amount helps us assess demand. It is not proof of available funds, accreditation, suitability or ability to meet future funding needs. Your actual shareholding or economic allocation, if any, would depend on the final issuer valuation, share class, founder ownership, expenses and separately signed agreements, not just this calculator.
For a financial-institution inquiry, any indicative U.S.-dollar deal range describes the type of future financing discussion the institution might consider. It is not the institution's investment budget, available or committed credit, a quote or a financing limit for a client. These inquiries are excluded from modeled investor vehicle-equivalent and capital totals. The calculator and prospective investor-cost provisions do not impose a vehicle selection, shareholding or expense obligation on a financing partner. Institutional account controls manage email choices and withdrawal, without an investor-model selection.
4. Estimated recurring fees and possible future shortfalls
The planning estimate is approximately US$700 per whole vehicle per month for management and cleaning. Charging is additional. Inclusion of insurance, maintenance, licensing and other expenses has not been finalized. The estimate can increase or decrease and is not a ceiling. A pro-rata illustration is not an agreement to invoice you or a final allocation formula.
The proposed future structure may require investors, by a separate express funding agreement, to contribute an allocated share of operating shortfalls when revenue and available reserves do not cover expenses. This can make the economic exposure exceed an investor's initial payment. Limits, duration, calculation, notice, approval, funding method, investor protections and consequences of nonpayment are not yet determined.
You owe none of these amounts by registering interest. Any future funding obligation would need to be clearly disclosed and separately accepted before it applies. We cannot create or expand it through an update to these Website terms. Do not treat the proposed activity as a guaranteed, cost-free or risk-free source of passive income.
5. Distributions, fees and conflicts remain unresolved
Monthly distributions are a planning objective; quarterly distributions or no distributions may be appropriate. Any payment would depend on actual available cash, expenses, taxes, reserves, applicable law, board decisions and the rights in final documents. Revenue is not the same as profit or cash available to shareholders.
The management arrangement may compensate founders or related parties and may remain payable during low or zero revenue periods. Founder equity, salaries, related-party contracts, fees, expense reimbursements and conflicts will require disclosure before an investment. No return, repayment, liquidity or distribution schedule is promised here.
6. Eligibility and later verification
The Website is for adults aged at least 18 with legal capacity. U.S. questionnaire answers are preliminary self-assessments only. Actual participation may be restricted to accredited investors and require independent or otherwise appropriate verification under the chosen exemption. A "yes" answer, an accreditation category or email verification is not completed accreditation verification.
Foreign residence does not remove U.S. securities requirements or the rules of the place where communications are received. Non-U.S. participation, if offered, may require accreditation or another qualification, local-law approval, identity and beneficial-ownership checks, source-of-funds review, sanctions screening and additional documentation appropriate to the route. No country is automatically approved because it is not subject to comprehensive sanctions.
Do not upload identity documents, financial statements, tax returns, account credentials or digital-asset credentials at this stage. We will explain any later checks through a secure process before collecting additional information.
7. Project readiness and communications
Our intention is to send a substantive investment-readiness invitation only after documented Tesla commercial arrangements and sufficiently defined licensing, insurance, maintenance, operating costs and proposed investment terms are available for review, and only where the communication is legally permitted. There is no promised date and the project may be cancelled.
A readiness email requires your specific request through the form. General project updates and marketing texts require their separate optional choices. Necessary verification, security, preference-management, correction or legally required messages may be sent for the relevant non-marketing purpose; an investment invitation will not be disguised as a service notice. We may notify you that the project will not proceed where appropriate to your request and lawful.
For financial institutions, requested contact about readiness concerns a potential future financing-partner discussion. It does not establish an approved program, promise client referrals or enroll the institution or its clients in an investment. Optional ongoing updates remain a separate choice.
8. No affiliation, allocation or priority
A referral code records how you found the project. A valid referral link fills and locks the code while its signed first-party attribution cookie remains valid, for up to 30 days; the first active link takes precedence. Without active link attribution, you may enter an active code manually or leave the field blank. Repeat registrations with the same email do not replace the original attribution. The code owner receives aggregate counts only, excluding withdrawn or deleted requests. Any future incentives require a separately announced program and its terms; registration and use of a code do not promise payment, discounts, investment eligibility or any other reward.
The project is independent of Tesla, Inc. Third-party public interest forms, product announcements or operating activities do not establish our agreement, vehicle availability, approvals or economics. An early submission gives no priority, guaranteed allocation, founder status, price protection, first-refusal right or promised discount. We may stop collecting interest, restrict a location or decline further contact in accordance with applicable law.
9. No payments now; possible later payment methods
We do not solicit or accept money, deposits, cryptocurrency or other consideration through this interest register. No credit-card field, bank instruction or wallet address forms part of this stage. Do not act on anyone's purported payment instruction for this interest list; report it to support@cybercabcollective.com.
A later offering may contemplate bank wire and specified digital-asset transfers, subject to legal, banking, sanctions, tax, custody and operational approval. No asset, network or payment method is approved here. Payment finality would not eliminate a lawful refund, return, rescission, blocking, rejection or other legal obligation.
10. Withdrawal, use of information and future transition
Withdraw or correct your interest through the Website's preference controls or support@cybercabcollective.com. The Privacy Policy explains processing, retention and rights. A contemplated new corporation will not automatically receive unrestricted permission to market to you; a lawful transition, notice and any necessary fresh consent will be required. Optional consent is not a transferable authorization for unrelated robotics projects.
Future documents must stand on their own and identify the actual issuer, investor rights, costs, risks and funding commitments. Nothing here waives securities, privacy, consumer or other nonwaivable protections, and no future contract is formed by your silence.
